Acceptance of Terms

These Terms of Service govern access to and use of the Conduro Ventures LLC website, Stock Research Terminal, research tools, analytics, reports, dashboards, subscriptions, and related services. By accessing or using the Services, users agree to these Terms.

Subscriptions, Billing, and Automatic Renewal

Paid subscriptions are billed in advance on a monthly, annual, or otherwise selected billing cycle. Unless cancelled before the renewal date, subscriptions automatically renew at the then-current plan rate plus applicable taxes and fees.

By subscribing, users authorize Conduro Ventures LLC or its payment processor to charge the payment method on file for recurring subscription fees, renewals, upgrades, add-ons, taxes, and other applicable charges.

Conduro Ventures may use third-party payment processors such as Stripe, Paddle, or similar providers to process payments, manage subscriptions, collect taxes, provide invoices, and operate customer billing portals.

Refund Policy

Subscription fees are billed in advance and are non-refundable except where required by applicable law or expressly stated in a separate written agreement. No refunds or credits are provided for partial billing periods, unused features, account inactivity, early termination, downgrade requests, or cancellation after renewal.

If a free trial is offered, users must cancel before the trial expires to avoid charges. Users must notify Conduro Ventures LLC within thirty (30) days of any suspected billing error. Verified billing errors may be corrected at Conduro Ventures LLC's discretion.

SaaS Service Availability

The Services may depend on third-party hosting, market-data vendors, APIs, payment processors, internet networks, and cloud infrastructure. Conduro Ventures LLC does not guarantee uninterrupted, continuous, secure, or error-free operation.

Scheduled maintenance, emergency maintenance, provider outages, data-vendor interruptions, internet disruptions, cyber events, force majeure events, or system upgrades may cause temporary unavailability, delayed data, or feature limitations. Unless expressly stated in a separate written Service Level Agreement, no uptime guarantee or service credit is provided.

Acceptable Use

Users may not misuse the Services, bypass access controls, scrape or redistribute content, reverse engineer software, interfere with platform operations, share credentials, resell access without permission, or use the Services for unlawful, abusive, deceptive, or harmful activity.

Financial Research Limitation

The Services provide software, analytics, educational information, and research tools only. The Services do not provide personalized investment advice, tax advice, legal advice, brokerage services, fiduciary services, or securities recommendations.

Intellectual Property

All platform software, interfaces, designs, reports, analytics, scoring methods, branding, logos, documentation, models, data compilations, and related intellectual property are owned by Conduro Ventures LLC or its licensors and are protected by applicable intellectual-property laws.

Suspension and Termination

Conduro Ventures LLC may suspend or terminate access for non-payment, security concerns, suspected misuse, violation of these Terms, or legal/compliance reasons. Termination does not relieve users of amounts owed before termination.

Binding Arbitration and Class Action Waiver

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms, the Services, or the relationship between the parties shall be resolved through binding individual arbitration rather than in court, except for claims that qualify for small claims court or claims seeking injunctive relief for intellectual-property misuse.

Arbitration shall take place in Phoenix, Arizona, under the rules of the American Arbitration Association unless the parties agree otherwise. Users and Conduro Ventures LLC waive the right to participate in class actions, class arbitrations, representative proceedings, or consolidated claims.

Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where preempted by federal law.
